You agree not to:
PlanShire uses artificial intelligence (powered by Anthropic Claude and Google Gemini) to provide planning suggestions, generate text content, create scene visualizations, optimize seating arrangements, and generate document clauses. AI-generated content is provided as suggestions only and should be reviewed before use. We make no guarantees about the accuracy, completeness, or suitability of AI-generated content. This includes, but is not limited to, AI-generated contract clauses, event copy, seating arrangements, and scene visualizations. You are responsible for reviewing and approving all AI suggestions before they are applied to your events or documents. AI-generated images are for visualization purposes and may not exactly represent real-world outcomes. AI-generated document clauses are not legal advice and have not been reviewed by legal professionals.
PlanShire provides document management and organization tools, including contract templates, clause editors, and digital signature capture. These tools are provided solely for document management convenience and do not constitute legal services, legal advice, or the practice of law in any jurisdiction.
Use of PlanShire's document tools does not create an attorney-client relationship between you and PlanShire. PlanShire is not a law firm and does not employ or retain attorneys to provide legal services to users.
Contract clauses generated by AI are provided as starting-point suggestions only. They are not reviewed by legal professionals, may not be enforceable in your jurisdiction, and may not adequately protect your interests. AI-generated content should never be used as a substitute for professional legal advice.
You are solely responsible for the content, accuracy, legality, and enforceability of any documents you create, send, or sign using PlanShire. We strongly recommend that you consult with a qualified attorney licensed in your jurisdiction before entering into any contractual agreement.
PlanShire is not liable for any contract disputes, enforceability issues, financial losses, or damages arising from documents created, managed, or signed through the platform. All contractual arrangements made through PlanShire are solely between the parties involved.
The digital signature capture feature is a convenience tool. PlanShire makes no representations regarding the legal validity or enforceability of digital signatures in any jurisdiction. Users should verify that digital signatures meet applicable legal requirements (such as the E-SIGN Act, UETA, or local equivalents) for their specific use case.
The PlanShire platform, including its design, code, features, and documentation, is owned by PlanShire and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service. The PlanShire name, logo, and branding are our trademarks.
You retain ownership of all content you upload to PlanShire (photos, event details, guest information, etc.). By uploading content, you grant us a limited, non-exclusive license to store, process, and display your content as necessary to provide the Service. Content shared to the Community feature may be visible to other PlanShire users. You are responsible for ensuring you have the right to upload any content you share.
PlanShire facilitates connections between event planners and vendors. We are not a party to any agreement between you and a vendor. We do not guarantee vendor availability, pricing, quality, or reliability. Any contracts, payments, or arrangements made with vendors are solely between you and the vendor. PlanShire is not liable for any disputes arising from vendor interactions. For the avoidance of doubt, any contracts or documents created using PlanShire's document management tools are the sole responsibility of the parties involved. See Section 7 (Document Management Tools & Legal Disclaimer) for details.
To the maximum extent permitted by law, PlanShire shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
You agree to indemnify and hold harmless PlanShire, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these terms, or your violation of any third-party rights.
You may terminate your account at any time through the Settings page. We may suspend or terminate your account if you violate these terms, engage in fraudulent activity, or fail to pay subscription fees. Upon termination, your data will be retained for 30 days before permanent deletion. Any outstanding fees remain due upon termination.
These terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Travis County, Texas.
We may update these Terms of Service from time to time. We will notify you of material changes by posting the new terms on this page and updating the "Last updated" date. Your continued use of PlanShire after changes constitutes acceptance of the updated terms.
